Terms of Service

The agreement between you and Foundli. We’ve written it to be read — plain summary first, full terms below.

Here’s the whole agreement in six lines. The full text follows, and it governs where the two differ.

  • We are not your lawyer or accountant — we prepare and file paperwork you direct us to file, and explain how things generally work. That isn’t legal or tax advice.

  • You own your data — everything you put in stays yours, and you can export all of it in one click, at any time, including after you cancel.

  • Cancel whenever — no contracts, no notice period, no retention phone call. Paid time already used isn’t refunded beyond our 30-day window.

  • State fees aren’t ours — when we file for you, the government’s fee goes to the government. We show it separately before you pay anything.

  • Accuracy is shared — we file exactly what you approve. If the information you give us is wrong, we can’t make the filing right.

  • We’ll tell you before we change this — material changes come with at least 30 days’ notice by email, not a quiet edit.

1. Who we are and what this covers

Foundli, Inc. ("Foundli," "we," "us") provides software and filing services that help small business owners form entities, track compliance obligations, organize documents, and understand their finances. These Terms govern your use of foundli.app and any related services.

By creating an account or using the service, you agree to these Terms. If you are agreeing on behalf of a company, you confirm you have authority to bind that company.

2. What Foundli is — and is not

Foundli is not a law firm, an accounting firm, or a registered investment adviser. We do not provide legal advice, tax advice, or financial advice. No attorney-client relationship is created by your use of the service.

Our guides, explanations, calculators, and recommendations are general information intended to help you understand how things commonly work. They are not a substitute for advice from a licensed professional about your specific situation.

In plain terms

We explain things clearly and file what you tell us to file. For a decision that turns on your particular circumstances — an unusual ownership structure, a complicated tax position — talk to a professional. We’ll tell you when we think that applies.

3. Your account

You must provide accurate information when creating an account and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

We require two-step sign-in for accounts with access to filing or financial data. You agree not to disable or circumvent it.

You must be at least 18 years old and legally able to enter contracts in your jurisdiction.

4. Filing services and your responsibility for accuracy

When you instruct us to prepare and submit a filing, we do so based on the information you provide and approve. You are responsible for the accuracy and completeness of that information.

We will not submit a filing without your explicit approval. Before any submission we show you what will be filed and what it costs.

  • We are responsible for transmitting the filing accurately and on time once you approve it.
  • You are responsible for the truth of the information in it.
  • Neither of us controls whether a government agency accepts, rejects, or delays a filing.

If a filing is rejected due to an error on our side, we will correct and resubmit it at no charge and cover any resulting late penalty attributable to that error.

5. Government fees

Government agencies charge their own fees for filings. Those fees are set by the agency, are paid to the agency, and are not revenue to Foundli. We display them separately from our own charges before you authorize payment.

Government fees are generally non-refundable once submitted, including where a filing is rejected for reasons outside our control.

6. Deadline reminders

We track compliance deadlines and send reminders as a convenience. We work to make this accurate and complete, but you remain responsible for meeting your legal obligations.

Deadlines change, agencies alter their rules, and obligations can arise from circumstances we do not know about. A missed reminder does not transfer your obligation to us.

In plain terms

We take reminders seriously and build the product around them — but the legal duty to file stays with you and your business. Treat us as an excellent assistant, not a legal guarantee.

7. Subscriptions, billing and cancellation

Paid plans bill monthly in advance unless you choose annual billing. Charges recur automatically until you cancel.

You may cancel at any time from your account settings. Cancellation takes effect at the end of the billing period you have already paid for; we do not pro-rate partial months.

We offer a 30-day refund on subscription charges and on Foundli service fees. Government filing fees are excluded, because they have already been paid to the agency.

We will give at least 30 days’ notice by email before increasing the price of an existing subscription.

8. Your data and your content

You retain all rights to the information, documents, and records you provide. We claim no ownership over your content.

You grant us a limited licence to store, process, and transmit that content solely to provide the service to you — for example, to categorize transactions, populate a filing, or generate a report.

You may export your data at any time, in a portable format, including after cancellation. We retain records as described in the Privacy Policy and as required by law.

9. Intellectual Property

The Service and its original content (excluding content provided by users) remain the exclusive property of Foundli and its licensors. You may not copy, modify, or distribute any part of the Service without our written permission.

10. Acceptable use

You agree not to use Foundli to file false information with any government agency, to conceal beneficial ownership unlawfully, to launder money, or to further any fraudulent or illegal purpose.

We may suspend or terminate an account we reasonably believe is being used for these purposes, and we may be legally required to report certain activity.

11. Service availability

We aim for continuous availability but do not guarantee uninterrupted service. Maintenance, third-party outages (including banking and government systems), and events beyond our control can interrupt access.

Where an outage affects a time-sensitive filing, we will work to complete it and will not charge our service fee for that filing.

12. Limitation of liability

[FOR ATTORNEY COMPLETION] This section must set out warranty disclaimers, the cap on liability, and excluded categories of damages, drafted for the jurisdictions in which Foundli operates and consistent with applicable consumer-protection law.

In plain terms

Our plain-language commitment for this section: if we make a mistake filing something, we fix it and cover the penalty that our mistake caused. What we cannot accept is responsibility for business losses flowing from decisions you make — and that boundary will be stated clearly rather than buried.

13. Indemnification

You agree to indemnify and hold harmless Foundli and its affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

14. Disputes

[FOR ATTORNEY COMPLETION] Governing law, venue, and the dispute-resolution mechanism. If arbitration or a class-action waiver is used, it must be presented conspicuously and with any opt-out clearly explained.

15. Changes to these terms

We may update these Terms. For material changes we will notify you by email at least 30 days before they take effect, and we will keep a dated record of what changed.

Continuing to use the service after changes take effect means you accept the updated Terms. If you do not accept them, you may cancel and export your data.
