By accessing or using the Foundli platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Foundli provides business management tools including entity formation assistance, compliance tracking, document storage, and financial management features. The Service is provided "as is" and "as available."

3. User Accounts

When you create an account with us, you must provide accurate and complete information. You are responsible for safeguarding the password and for all activities that occur under your account.

  • You must be at least 18 years old to use the Service
  • You are responsible for maintaining the security of your account
  • You must notify us immediately of any unauthorized access
  • You may not use another user's account without permission

4. Payment Terms

Certain features of the Service require payment. By selecting a paid plan, you agree to pay the fees indicated for that service. Fees are non-refundable except as expressly set forth in these Terms.

  • All fees are stated in US dollars
  • Subscription fees are billed in advance on a monthly or annual basis
  • You authorize us to charge your payment method automatically
  • Failure to pay may result in suspension or termination of your account

5. Formation and Legal Services Disclaimer

Foundli provides tools and information to help you manage your business. We are NOT a law firm, and our Service does NOT constitute legal advice. For specific legal questions, you should consult with a qualified attorney.

When you use our formation services, you are authorizing us to submit documents to state agencies on your behalf. State filing fees are pass-through costs and are non-refundable once submitted.

6. Intellectual Property

The Service and its original content (excluding content provided by users) remain the exclusive property of Foundli and its licensors. You may not copy, modify, or distribute any part of the Service without our written permission.

7. User Content

You retain ownership of any content you upload to the Service. By uploading content, you grant us a license to store, display, and process that content as necessary to provide the Service.

8. Prohibited Uses

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to the Service
  • Interfere with or disrupt the Service
  • Upload malicious code or content
  • Impersonate another person or entity
  • Use the Service to send spam or unauthorized advertising

9. Limitation of Liability

To the maximum extent permitted by law, Foundli shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Foundli and its affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account at any time for any reason, including violation of these Terms. You may cancel your account at any time through the account settings.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
